Terms of Use
This document is a translation of the Japanese original. If the translation and the Japanese original differ, the Japanese original prevails.
Thank you for using melamela.
These Terms of Use (these "Terms") govern your use of "melamela" (the mobile application and the related website; the "Service"), provided by Flip, Inc. ("we"). If you use the Service (a "user"), you are deemed to have agreed to these Terms and to our Privacy Policy from the moment you start using it. Please read both before you use the Service.
Article 1 (Scope)
- These Terms apply to every aspect of the relationship between a user and us concerning use of the Service.
- In addition to these Terms, we may post rules, guidelines, notices and other provisions concerning the Service ("Supplementary Rules") within the Service. Whatever they are called, Supplementary Rules form part of these Terms.
- If these Terms and Supplementary Rules differ, the Supplementary Rules prevail unless they say otherwise.
Article 2 (Definitions)
In these Terms, the following terms have the meanings given below.
- "World" means the setting that serves as the stage a user plays in on the Service, whether we provide it or a user created it.
- "Character" means the definition of a person, organisation, publication or other figure appearing in the social network within the Service (including name, handle, profile and images), whether we provide it or a user created it.
- "Save data" means the record of a single playthrough that a user started by choosing a world (including posts, events, followers, affinity and direct messages).
- "AI" means the artificial intelligence technology the Service uses to generate text and other content.
- "Third-party AI service" means an AI-related service provided by a third party that we use to generate content or otherwise provide the features of the Service (including, without limitation, the API services of Google, OpenAI and Anthropic).
- "AI-generated content" means text and other information produced by the AI within the Service (including event scenes and choices, posts, replies, direct message responses, and character and world descriptions).
- "User content" means any text, image or other information a user creates, enters, posts, sends or uploads on the Service (including worlds and characters a user creates, posts, answers, direct messages and profiles).
- "Published content" means user content in the form of worlds and characters that a user has set to be public.
- "melamela Pass" means the monthly paid subscription we offer within the Service.
- "App store" means the App Store operated by Apple Inc., Google Play operated by Google LLC, or another platform that distributes the Service's application.
Article 3 (What the Service is)
- The Service is a single-player simulation game in which a user joins a fictional social network, as themselves or as a character, and enjoys watching their followers and their relationships with characters change as they answer AI-generated events, write posts and exchange direct messages with characters.
- The social network, posts, followers, reactions, direct messages and everything else that happens on the Service is fictional and exists only within the Service. Posts made on the Service are not published to X (formerly Twitter), Instagram or any other real social network.
- The posts, statements, actions and other AI-generated content of the characters that appear in the Service are fiction created by the AI. Even where a character's name or setting matches or resembles a real person, organisation or publication, it does not represent anything that person, organisation or publication actually said, did or believes, and does not mean that they are involved in or endorse the Service.
- The Service has features that are free to use and features available to users who subscribe to melamela Pass.
Article 4 (Eligibility)
- The Service may be used only by people aged 13 or over (14 or over in the Republic of Korea). If we find that someone below that age is using the Service, we may delete the account and take any other necessary measures.
- If a user is a minor, they must obtain the consent of a parent or other legal representative in advance before using the Service or purchasing melamela Pass. If a minor uses the Service or purchases melamela Pass, consent is deemed to have been given.
- A minor who uses deception — for example by claiming to be an adult or claiming to have their legal representative's consent — may not rescind the contract for use of the Service.
- We may ask a user to state their age when they start using the Service and at any other time we consider necessary. Users must state their true age.
Article 5 (Accounts)
- A user may create an account for the Service in any of the following ways.
- Signing in with an Apple account
- Signing in with a Google account
- Using the Service as a guest, without linking an account
- Any other method we specify
- If you use the Service as a guest, you may lose access to your save data and other in-app data if you delete the application, change device or for other reasons. We are not liable for any loss arising from this.
- If we judge that someone applying for an account falls under any of the following, we may refuse to approve the account or delete an account already created, and we are not obliged to explain why.
- The information they gave us was false
- They have previously breached these Terms and been suspended or similarly sanctioned
- We judge that they are an antisocial force (an organised crime group, a member of one, a company connected to one, a corporate racketeer or anyone similar; the same applies below) or that they associate with or are involved with one
- We otherwise judge that creating the account would not be appropriate
- Users are responsible for managing their account and the external service account used to sign in, and must not let a third party use their account, or lend, transfer, rename or sell it.
- Except where we act intentionally or negligently, we are not liable for loss arising from inadequate management of an account, errors in its use, or its use by a third party.
Article 6 (User content)
- Copyright and other rights in user content belong to the user who created it or to the third party who licensed it to that user.
- Users grant us a free, non-exclusive licence, unlimited as to territory, to store, reproduce, modify, translate, display and distribute their user content, and to feed it to third-party AI services, for the purposes of providing, maintaining and improving the Service and preventing misuse. Users also agree not to assert their moral rights against us or against anyone who succeeds to or is licensed by us.
- Users warrant that they hold the rights necessary to create, post and publish their user content, and that their user content does not infringe the intellectual property, likeness, publicity, privacy, reputation or other rights or interests of any third party.
- Users must not include information identifying another person (name, address, telephone number, photograph and the like) in user content without that person's consent.
Article 7 (Published content)
- If a user sets a world or character to be public, that published content appears in other users' search results and lists, and other users may use it as the stage or a cast member of their own save data. In that case the AI generates text within those users' save data based on the settings of that published content.
- Users accept that a world or character they publish may be handled in other users' save data in ways, or with words and actions, that they did not intend.
- Even if a user unpublishes or deletes published content, or deletes their account, information already taken into another user's save data, and AI-generated content produced from it, may remain in that save data.
- Users may report published content, posts or other content that breaches these Terms or that they consider inappropriate, using the reporting feature in the Service. Users may also use the block feature to keep a particular world out of their own lists.
- If we judge that reported content or any other content breaches these Terms or the law, or risks doing so, we may unpublish or delete it or take any other necessary measures without notifying the user in advance. We are not obliged to reply individually to a report or to tell the reporter what we did.
- We are not obliged to monitor published content continuously.
Article 8 (AI-generated content)
- AI-generated content is produced automatically by the AI from user input and from world and character settings, and we do not review it beforehand. It may contain material that is untrue, inaccurate, unintended or that some people find offensive.
- We make no warranty as to the accuracy, truthfulness, completeness, usefulness, legality or fitness for a particular purpose of AI-generated content.
- AI-generated content does not constitute medical, legal, financial, psychological or any other professional advice. Users must not rely on it as a basis for real-world decisions and use it at their own risk.
- Users may make private use of the AI-generated content in their own save data within the scope of their use of the Service. We may use AI-generated content for the purposes of providing, maintaining and improving the Service.
- If a user shares AI-generated content (including screenshots of it) outside the Service, they must make clear that it is fiction from within the Service, and must not share it in a way that could make people believe it is something a real person, organisation or publication actually said or did.
- Third-party AI services are used to produce AI-generated content. If such a service is suspended, fails or changes its specifications, the content or quality of AI-generated content may change, or generation may become impossible.
Article 9 (melamela Pass)
- The price of melamela Pass, what it includes and how it is paid for are as displayed in the Service or on the app store.
- melamela Pass is bought and paid for through the app store's billing system, and the app store's terms and payment conditions apply.
- melamela Pass is an auto-renewing subscription for the period shown at purchase. Unless it is cancelled at least 24 hours before the end of the current period, it renews automatically on the same terms and the price is charged.
- Cancel melamela Pass from the subscription settings of the app store you use. Deleting the Service's application or deleting your account does not cancel melamela Pass.
- After cancelling, you keep the benefits of melamela Pass until the end of the current period. We do not refund on a pro-rata basis if you cancel part-way through a period.
- Except where required by law, refunds for melamela Pass follow the app store's refund policy, and we do not refund directly.
- We may change the price of melamela Pass or what it includes. If we change the price, we will announce it in advance in the Service or through the app store, and the new price applies from the first renewal after the change.
Article 10 (Ads)
- Ads from us or from third parties may appear in the Service. We do not show ads to users subscribed to melamela Pass, as we specify.
- Any dealings, communications or other relationships between a user and an advertiser are between them, and we are not liable for them.
Article 11 (Invitations)
- Users may invite others to the Service in the manner we specify, and where our conditions are met, both the inviting and the invited user receive the rewards we specify.
- We may change the conditions, content and caps of invitation rewards at our discretion.
- Users must not invite themselves, use multiple accounts, or otherwise obtain invitation rewards improperly. Where we judge that they have, we may cancel rewards already granted.
Article 12 (Prohibited conduct)
In using the Service, users must not do anything that falls, or that we judge to fall, under any of the following.
- Anything that breaches the law, public order and morals, or these Terms
- Anything connected with a criminal act
- Infringing the intellectual property, likeness, publicity, privacy, reputation, credit or other rights or interests of us, of other users or of third parties
- In relation to the AI:
- Creating or publishing a character or world representing a real person, organisation or publication without the permission of that person or right holder
- Defaming a real person, organisation or publication, damaging their reputation or credit, or attempting to spread false information as if it were fact
- Impersonating a real person, organisation or publication, or making it appear that they have endorsed something
- Creating a character who is a minor or otherwise vulnerable and sexualising them, or objectifying them in an unlawful or unethical way
- Deliberately circumventing the AI's safety measures, or exploiting weaknesses in the AI, to make it produce unlawful or inappropriate material
- Entering or generating material that breaches the terms, usage policies or other conditions of a third-party AI service provider
- Creating, posting, sending or publishing user content containing the following, or making the AI generate it:
- Excessively violent or cruel expression
- Explicit sexual expression, child pornography, or expression amounting to the sexual exploitation or abuse of children
- Expression that promotes discrimination on the basis of race, ethnicity, nationality, creed, sex, sexual orientation, disability or the like
- Expression that induces or encourages suicide, self-harm or drug abuse
- Defamation, threats or harassment directed at a particular individual or organisation
- Another person's personal information
- Anything else that others would find offensive
- Promoting, advertising, soliciting or conducting business within the Service without our prior permission
- Obtaining, or attempting to obtain, melamela Pass benefits, invitation rewards or other benefits by improper means
- Using automation tools, bots, modified applications or other means we do not envisage to use the Service, or placing an excessive load on the Service's servers
- Reverse engineering, decompiling, disassembling or otherwise analysing the Service's software or systems
- Interfering with the operation of the Service or with other users' use of it
- Improperly obtaining or using another user's account
- Abusing the reporting feature, for example by repeatedly filing false reports
- Directly or indirectly providing a benefit to an antisocial force
- Anything else we judge to be inappropriate
Article 13 (Suspension and other measures)
- If we judge that a user falls under any of the following, we may, without prior notice, delete their content, restrict some or all features, suspend their use of the Service temporarily or permanently, delete their account, or take any other necessary measures.
- They have breached the law or these Terms
- It emerges that they fall under any item of Article 5, paragraph 3
- They do not respond to an enquiry from us within a reasonable period
- We otherwise judge that their use of the Service is not appropriate
- Even if those measures cause a user to lose access to melamela Pass benefits, we are not obliged to refund or otherwise compensate them, except where required by law.
- We are not obliged to explain why we took measures under this Article.
Article 14 (Deleting your account)
- Users may delete their account at any time by following the procedure in the Service's settings.
- When a user deletes their account, we delete their account, save data and other data, except for information we must keep by law or as set out in our Privacy Policy. Deleted data cannot be restored. Published content is treated as set out in Article 7, paragraph 3.
- Deleting your account does not automatically cancel melamela Pass. Cancel it on the app store before deleting your account, as set out in Article 9, paragraph 4.
Article 15 (Changes to, suspension and termination of the Service)
- We may interrupt or suspend all or part of the Service without prior notice in any of the following cases.
- We are maintaining, inspecting or updating the systems behind the Service
- Providing the Service has become difficult because of failures of computers or communication lines, unauthorised access or the like
- Providing the Service has become difficult because of an earthquake, fire, power failure, natural disaster or other force majeure
- A third-party AI service, an app store or another external service the Service depends on has been suspended, has failed or has changed its specifications
- We otherwise judge, on operational or technical grounds, that the Service must be interrupted or suspended
- We may change what the Service contains, including worlds, characters, features and melamela Pass benefits.
- We may end all or part of the Service by announcing it in the Service at least 30 days beforehand. If we end the Service, melamela Pass is handled as the app store provides.
- Except where we act intentionally or with gross negligence, we are not liable for loss caused to users by measures taken under this Article.
Article 16 (No warranty)
- We do not warrant that the Service (including AI-generated content, published content and the worlds and characters we provide) is free of defects in fact or in law (including defects, errors, bugs and infringements relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose and security).
- We do not warrant the retention or recovery of save data or other user data. Users accept that data may be lost.
- We do not warrant that the Service works on every device or operating system, or that it is provided without interruption.
Article 17 (Limitation of liability)
- Except where we act intentionally or with gross negligence, we are not liable for loss caused to users in connection with the Service.
- Notwithstanding the preceding paragraph, where the contract for use of the Service between a user and us is a consumer contract under the Consumer Contract Act of Japan, then except where we act intentionally or with gross negligence, our liability for loss caused to a user by our slight negligence (whether in contract or in tort) is limited to direct and ordinary loss actually incurred, and capped at the greater of the total amount the user paid for melamela Pass in the 12 months before the month in which the loss occurred, or 10,000 yen.
- Disputes arising in connection with the Service between users, or between a user and a third party, are to be resolved between them; except where we act intentionally or with gross negligence, we are not liable for them.
- A user who breaches these Terms or causes us loss in connection with their use of the Service must compensate us for that loss. If a third party brings a claim against us in connection with a user's creation or publication of user content or other use of the Service, that user must resolve it at their own cost and risk and indemnify us for the costs we incur (including reasonable legal fees).
Article 18 (Handling of information)
- We handle users' personal information appropriately in accordance with our Privacy Policy.
- Information a user enters into the Service is sent to third-party AI services in order to produce AI-generated content.
- We may use information about how the Service is used, in a form that does not identify individuals, to provide, maintain and improve the Service and our other services, to develop new services, and to deliver ads.
Article 19 (Notices)
- We give notice to users by displaying it in the Service, by an announcement, by push notification or by any other means we consider appropriate.
- Such a notice takes effect when we display or send it in the Service.
Article 20 (Changes to these Terms)
- We may change these Terms without the individual consent of users, under Article 548-4 of the Civil Code of Japan, in either of the following cases.
- The change is in the general interest of users
- The change does not conflict with the purpose of the contract for use of the Service and is reasonable in light of the need for the change, the appropriateness of the new content and other circumstances
- When we change these Terms, we will announce in the Service or on our website that we are doing so, together with the new content and the effective date, at least 7 days beforehand (30 days if the change disadvantages users).
- If a user uses the Service on or after the effective date of the changed Terms, they are deemed to have agreed to them. A user who does not agree may delete their account under Article 14.
Article 21 (Assignment)
- Users may not assign or pledge their contractual position or their rights and obligations under these Terms to a third party without our prior written consent.
- If we transfer the business behind the Service to a third party (including by business transfer, company split or any other means by which a business moves), we may transfer to the transferee our contractual position and rights and obligations under these Terms, together with users' registration and other information, and users agree to this in advance.
Article 22 (Severability)
If any provision of these Terms, or part of one, is held invalid or unenforceable under the Consumer Contract Act or any other law, the remaining provisions, and the remainder of the provision held partly invalid or unenforceable, remain in full force.
Article 23 (Language)
The Japanese text of these Terms is the original. Even where a translation into another language is produced, only the Japanese original has legal effect, and the Japanese original prevails over any translation that differs from it.
Article 24 (Governing law and jurisdiction)
- These Terms are governed by and construed in accordance with Japanese law.
- The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute between a user and us in connection with the Service.
